Terms & Conditions
These Terms and Conditions (“Agreement”) govern your use of services provided by Mame Studio (“we,” “us,” or “our”), a business registered in Japan. By engaging our services or using our website, you agree to be bound by this Agreement.
1. Services
We provide web design, development, and related creative services as described in project proposals or agreements.
2. Client Responsibilities
You agree to provide accurate, timely, and complete information for your project. You represent that you own, or have obtained valid licenses for, any materials you provide (including text, images, logos, and data). You agree to indemnify and hold us harmless from any claims, damages, or expenses resulting from content you supply.
3. Intellectual Property & Portfolio Rights
Upon full payment, you will own the final website design and deliverables, except for:
- - Third-party materials (such as stock images, plugins, or fonts) which remain under their own licenses.
- - Our right to display completed work in our portfolio, social media, and marketing materials, unless otherwise agreed in writing.
4. Project Timeline & Force Majeure
We will make reasonable efforts to deliver within agreed timelines. Delays may occur due to late client feedback or events beyond our control (including natural disasters, internet outages, strikes, pandemics, or force majeure events). We are not liable for such delays.
5. Payment Terms
All fees, deposits, and payment schedules will be set forth in writing. Work begins only after receipt of the agreed deposit. All payments are non-refundable except where required by applicable law.
6. Termination & Refund Policy
Either party may terminate services with written notice. In such case, the client must pay for all work completed up to the termination date. Refunds are not provided except as required by law.
7. Confidentiality
Both parties agree to keep sensitive business or project information confidential, except where disclosure is legally required.
8. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for:
- - Indirect, incidental, or consequential damages (including lost profits, lost data, or business interruption).
- - Performance of third-party products (hosting, plugins, platforms, or integrations).
- - SEO rankings, marketing results, or commercial success of your website or business.
Our total liability shall not exceed the amount you paid for the specific project or service giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, or expenses (including legal fees) arising out of your content, misuse of our services, or breach of this Agreement.
10. Governing Law & Dispute Resolution
This Agreement is governed by the laws of Japan, without regard to conflict-of-law rules.
Any dispute shall first be resolved in good faith through negotiation. If unresolved, disputes shall be submitted to binding arbitration under the Japan Commercial Arbitration Association (JCAA), conducted in English or Japanese. The arbitration decision shall be final and enforceable in any jurisdiction.
By agreeing to these Terms, you waive the right to participate in class actions or jury trials to the fullest extent permitted by law.
11. Amendments
We may update these Terms and Conditions at any time by posting on our website. It is your responsibility to review them periodically.
